- "Content" means any written materials, reports, presentations, or editorial outputs produced in connection with an engagement.

2. Acceptance of Terms
By accessing this website or submitting an enquiry, you confirm that you have read and agree to these Terms. If you are acting on behalf of an organisation, you represent that you have the authority to bind that organisation to this Agreement.
Use of our services is intended for organisations and business professionals. Individuals must be at least 18 years of age to engage our services.
3. Service Description
Mandatum provides brand positioning reviews, communications refresh engagements, and ongoing brand and content advisory services to boutique law firms and professional services organisations in Singapore and internationally. All services are advisory and operational in nature; we do not provide legal advice, regulated financial services, or any output requiring a professional licence.
Services are available subject to the availability of our team and the mutual agreement of a scope. We reserve the right to decline an engagement where there is a conflict of interest or where the proposed scope falls outside our areas of practice.
4. User Responsibilities
Acceptable Use of the Website

- Refrain from attempting to interfere with or disrupt website infrastructure

Client Obligations During an Engagement

5. Intellectual Property
Our Content
All materials on this website — including text, structure, design, and editorial content — are the intellectual property of Mandatum. They may not be reproduced or adapted without written consent.
Engagement Deliverables
Upon receipt of full payment for an engagement, intellectual property in the written deliverables produced specifically for a client transfers to that client. Mandatum retains the right to use anonymised methodologies, frameworks, and general approaches developed in the course of engagements in future work.
Pre-Existing Materials
Any tools, templates, or frameworks that Mandatum brings to an engagement as pre-existing property remain our property. We grant a non-exclusive, non-transferable licence to use them as incorporated into your deliverables.
6. Payment Terms
All fees are quoted and invoiced in Singapore Dollars (SGD). The following standard terms apply unless an engagement letter specifies otherwise:
- Brand Positioning Review (SGD 195): Full payment due before work commences
- Communications Refresh Engagement (SGD 575): 50% on engagement acceptance, 50% on delivery of final materials
- Annual Brand & Content Retainer (SGD 1,150 / month): Monthly invoices issued in advance, payable within 14 days
Invoices unpaid after 30 days may attract a late fee of 1.5% per month on the outstanding balance. We accept payment by bank transfer to details provided on invoice.
Refund Policy
Work commenced on a project brief is not refundable except where Mandatum is unable to deliver due to circumstances within our control. Where an engagement is cancelled by the client after commencement, fees for work completed to the cancellation date remain payable. Retainer fees paid in advance for an uncompleted month will be refunded on a pro-rata basis.
7. Service-Specific Terms
Scope and Changes
Each engagement is scoped by a written brief agreed at kick-off. Requests to expand scope materially during an engagement will be discussed and, if agreed, reflected in a supplementary fee estimate before work on the expanded scope begins.
Feedback Rounds
Each engagement includes a defined number of structured feedback rounds as set out in the engagement brief. Additional rounds may be accommodated at our discretion or at an agreed additional fee.
Confidentiality
We treat all client-provided information as confidential and will not disclose it to third parties except as required to deliver the agreed service or comply with a legal obligation. Clients are asked to treat our methodologies and unpublished frameworks with equivalent discretion.
Timeline Commitments
Delivery timelines quoted in engagement scopes are estimates that depend on timely client input. Where client delays extend a project, the timeline will be adjusted accordingly and notified in writing.

9. Limitation of Liability
To the fullest extent permitted by Singapore law, Mandatum's total liability to a client in connection with any engagement shall not exceed the total fees paid by that client for the relevant engagement in the 12 months preceding the claim.
We are not liable for indirect, consequential, or incidental loss, including loss of revenue, loss of anticipated savings, or reputational harm, arising from our services or from use of this website.
Nothing in these Terms excludes liability for fraud, wilful misconduct, or any liability that cannot be excluded under applicable law.
10. Indemnification
You agree to indemnify and hold Mandatum, its team members, and advisors harmless from any claims, costs, or liabilities arising from your use of this website or your breach of these Terms, including claims by third parties resulting from materials you have provided to us for use in an engagement.
11. Termination
Either party may terminate a project engagement on 14 days' written notice. A retainer agreement may be terminated by either party on 30 days' written notice at the end of a calendar month. Early termination of a fixed-term retainer by the client does not entitle the client to a refund of fees paid for the current retainer period.
We may suspend or terminate access to our website, or decline to fulfil an engagement, at our discretion where these Terms have been breached. Confidentiality obligations and intellectual property provisions survive termination.
12. Dispute Resolution
These Terms are governed by and construed in accordance with the laws of Singapore. In the event of a dispute, the parties agree first to seek resolution informally by notifying the other party in writing and engaging in good-faith discussions for at least 21 days before commencing formal proceedings.
Where informal resolution is not achieved, disputes shall be referred to the courts of Singapore, which shall have exclusive jurisdiction, unless the parties agree in writing to submit the matter to mediation or arbitration under the Singapore Mediation Centre or the Singapore International Arbitration Centre.
13. General Provisions
- Entire Agreement: These Terms, together with any signed engagement letter, constitute the complete agreement between the parties and supersede prior discussions.
- Severability: If any provision is found unenforceable, it will be modified to the minimum extent necessary, and the remainder of these Terms will continue in effect.
- No Waiver: Failure to enforce any provision of these Terms on one occasion does not constitute a waiver of our right to enforce it on any future occasion.
- Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our obligations to a successor entity provided service quality is maintained.
- Notices: Formal notices under these Terms should be sent by email to [email protected] and will be effective on confirmed receipt.
14. Changes to Terms
We may update these Terms from time to time. Revised Terms will be published on this page with a new effective date. For active engagements in progress, material changes to terms will be communicated directly. Continued use of our website after revised Terms are published constitutes acceptance of those changes.
